What these terms cover
These Billing & Payment Terms explain how Luxota bills, collects, and settles charges across Luxota products. Luxota operates on a prepaid model: charges are met from wallet balances held in Luxota Trustee, and a service or operation completes only when the relevant wallet holds enough balance.
Product-specific prices are set out in each product's terms. This document explains the billing mechanics that apply across them.
Currency
Luxota's standard invoicing base currency is USD. Where helpful, an approximate equivalent in your local currency may be shown for guidance, but the official invoice basis remains USD unless Luxota agrees otherwise in writing. Exchange-rate-based estimates are not guaranteed final invoice amounts.
VAT and taxes
Platform costs are subject to 5% UAE VAT where applicable, added to the relevant platform charge. The final invoice defines the exact amount and tax treatment. Full tax handling is set out in the VAT & Tax Policy.
The Trustee wallet structure
All wallet balances, deposits, and settlement run through Luxota Trustee, which holds two wallet types with separate purposes:
- Platform Wallet — for Luxota platform and software charges such as segment fees, ShareHub fees, supplier activation, and gateway activation. Each customer has one Platform Wallet, in the agreed contract currency.
- Settlement Wallet — for service settlement between agencies, including ShareHub service purchases and service issuance that requires prepaid balance. An agency may hold more than one Settlement Wallet in different currencies.
The two wallet types cannot be used interchangeably: the Platform Wallet cannot be used for inter-agency settlement, and the Settlement Wallet cannot be used for Luxota platform charges.
Prepaid operating model
All Luxota service operations are prepaid. If the relevant wallet does not hold enough balance, the related service or operation cannot complete. For example, issuing a service through ShareHub supply requires sufficient Settlement Wallet balance, and Full OTA platform deductions require sufficient Platform Wallet balance.
Keeping your wallets funded keeps operations and settlement clear and uninterrupted.
How each product is billed
ShareHub White Label is billed as a recurring platform access fee on a 3-month (quarterly) cycle. The amount is set out in the ShareHub White Label terms.
Luxota Full OTA has no annual software license and no monthly platform fee. It is Pay-as-you-go, funded through the Trustee Platform Wallet, with usage-based deductions such as segment fees, ShareHub fees, and supplier and gateway activation. Amounts and funding are set out in the Full OTA terms.
Pay-as-you-go does not mean free — commercial charges still apply through wallet deductions, activation fees, and VAT.
Invoicing
Invoices are issued in USD and itemize the applicable fees, activations, and VAT. Recurring fees are invoiced per billing cycle; usage-based and activation charges are invoiced or deducted as they occur. Please review each invoice on receipt and raise any query within the period stated on the invoice or in your agreement.
Payment and underfunded accounts
Because operations are prepaid, the relevant wallet must hold sufficient balance for services and platform deductions to proceed. If a wallet is underfunded or an invoice remains unpaid, related operations may be paused until balance or payment is restored.
Reactivation follows settlement of the outstanding amount, subject to your agreement.
Refunds and termination
Termination requires 3 months' notice, followed by up to 1 month for final settlement and balance release — up to 4 months in total. Remaining wallet balances are refundable after termination according to the contract timeline, subject to settlement review.
Refundable does not mean immediately refundable. Before release, Luxota may review outstanding obligations, unpaid fees, chargebacks, disputes, supplier penalties, and taxes. Full terms are in the Refunds & Renewals Policy.
