Acceptance and the parties
These Terms are entered into between RIFAA SHUROOQ ELECTRONICS TRADING L.L.C, a limited liability company registered in Dubai, United Arab Emirates (“Luxota”, “we”), and the travel business that registers for, orders, activates, or uses any Luxota product (“Customer”, “you”). By requesting a Live Portal Preview, signing or accepting an Order Form, paying an invoice, accessing an activated portal, or using any commercial product, you accept these Terms.
If you accept on behalf of an agency, you confirm you are authorised to bind that agency.
Products and definitions
Luxota OS follows a See → Sell → Scale pathway across three products:
- 14-Day Live Portal Preview — an evaluation stage to review a branded portal before commercial activation.
- ShareHub White Label — the first commercial selling product, using Luxota-provided ShareHub supply and your own payment gateway.
- Luxota Full OTA — the advanced product for direct suppliers, Trustee operations, multiple sales channels, and Pay-as-you-go usage.
“ShareHub”, “Trustee”, and “API OUT” are capabilities within these products, not standalone products. Each product's specifics are set out in its Product Terms.
The agreement stack
Your relationship with Luxota is governed by a layered set of documents. Where they conflict, the controlling order is:

Prices and product inclusions live in the Product Terms and Commercial Policies, never inside this Master Agreement, so a price change never amends the core contract.
Scope, and what Luxota is not
Luxota provides operating software and a staged growth path for travel agencies. Luxota is not your travel licence, your supplier, or the owner of travel inventory by default, and does not assume your operational, licensing, or customer-service responsibilities.
Luxota does not guarantee sales, profit, customer traffic, supplier approval, ranking, or that any agency can immediately operate as a full OTA. Supplier and channel availability depend on scope, readiness, approval, and contract terms.
Eligibility
Luxota products, including the Live Portal Preview, are available only to legally registered travel-related businesses. You must hold a valid trade licence or legal activity licence related to travel or tourism to register and remain active.
Fees, billing and VAT
The Live Portal Preview requires no credit card and no upfront payment. Commercial products carry the following headline fees, all in USD and subject to 5% UAE VAT where applicable; full detail and segment-fee tiers are in the relevant Product Terms.
Tax is applied per the VAT & Tax Policy, and billing mechanics per the Billing & Payment Terms. Final amounts and tax treatment are set by your invoice.
Trustee wallets and the prepaid rule
Balances are managed through Luxota Trustee in two separate wallets that cannot be used interchangeably. The Platform Wallet covers Luxota software and platform charges; the Settlement Wallet covers inter-agency and ShareHub service settlement.
All Luxota service operations are prepaid. If the relevant wallet does not hold enough balance, the related service or operation cannot be completed.
Payment gateways
Every site uses its own payment gateway; one site cannot use another agency's gateway. ShareHub White Label includes up to two supported gateways with initial activation included once, subject to the applicable Product Terms and technical feasibility. Full OTA may add unlimited gateways, each at USD 250 + 5% UAE VAT per approved activation, subject to technical feasibility.
Card payments your customers make may carry an online payment surcharge, set out in the Payment Surcharge Policy.
Suppliers and ShareHub supply
ShareHub White Label uses Luxota-provided ShareHub supply and does not include direct Travel API Supplier integration. Direct suppliers are available only under Full OTA, after feasibility review, credentials, contracts and approval. Supplier activation is not automatic or guaranteed.
Upgrades and data continuity
You may upgrade from Live Preview to ShareHub White Label or directly to Full OTA, and from White Label to Full OTA. Upgrades depend on agreement, business review, wallet and deposit requirements, technical readiness and approval.
On upgrade your setup is not deleted — the same portal continues and the service is upgraded. Changing a foundational setting such as base currency may require rebuilding the site, which can remove existing data.
Term, termination and balance release
Termination requires 3 months' notice, followed by up to 1 month for final settlement and balance release — up to 4 months in total. Remaining wallet balances are refundable after termination according to the contract timeline, subject to settlement review.
Refundable does not mean immediately refundable: release is subject to outstanding obligations, deductions, chargebacks, disputes, supplier penalties, taxes and the signed agreement. Refund and renewal terms are in the Refunds & Renewals Policy.
Customer obligations
You are responsible for maintaining a valid travel licence, fulfilling services sold to your customers, providing accurate business information, keeping your wallets funded for prepaid operations, and complying with applicable laws and supplier requirements.
Liability and disclaimers
Luxota provides the platform on an “as available” and “as configured” basis. To the extent permitted by law, Luxota is not liable for indirect, incidental, special, punitive or consequential losses; loss of profit, revenue, goodwill, business opportunity or data; supplier acts or omissions; or third-party payment gateway, bank, GDS, NDC, API, hosting, messaging or connectivity behaviour.
Except for amounts that cannot legally be excluded or limited, Luxota's total aggregate liability for all claims arising out of or relating to these Terms is limited to the platform, subscription and software fees actually paid by you to Luxota under the affected Order Form during the 3 months before the event giving rise to the claim. For clarity, this cap excludes taxes, supplier settlement amounts, airline or hotel charges, payment gateway charges, chargebacks, refunds owed to travellers, wallet top-ups, pass-through funds, and refundable retained wallet balances.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded or limited under applicable law.
Changes to these terms
These Terms are published at a dated, immutable URL. When they change, a new dated version is published and this version is marked superseded with a link to its replacement. Previous versions remain available in the archive.
Where Luxota publishes translations, they are provided for convenience. Unless the applicable Order Form expressly states otherwise, the English version controls.
Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law rules. Subject to any mandatory process required by applicable law, the courts of Dubai, United Arab Emirates have exclusive jurisdiction over disputes arising out of or relating to these Terms, the Order Form, invoices, wallets, services, or use of Luxota OS.
The USD invoicing basis and 5% UAE VAT reflect Luxota's standard commercial model unless your Order Form, invoice, or applicable law requires a different treatment.
Notices and contact
Formal notices should be sent by email to [email protected], with a copy to any notice email stated in the applicable Order Form or invoice. A notice is treated as received when Luxota can reasonably verify successful delivery to the notice address, unless applicable law requires a different method.
